Terms of Service
Plain-language summary. ScroogeLLM is a free-to-start ("freemium") VS Code extension and local proxy. You run it on your own machine with your own LLM provider API keys. You are responsible for those keys, for the LLM provider charges they incur, and for complying with each provider's terms. We provide the software "as is".
1. Who these terms are with
These Terms of Service ("Terms") are a contract between you and Audit&Fix, a
registered business name of a sole trader (ABN 19 429 399 114) based in New South Wales,
Australia ("we", "us") (not registered for GST). They govern your use of the ScroogeLLM website
(scroogellm.com), the ScroogeLLM Visual Studio Code extension, and the local
LLM proxy it installs (together, the "Service").
2. Acceptance
By installing, accessing, or using the Service — including submitting the early-access signup form — you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old to use the Service; by using it you confirm that you are.
3. The Service
ScroogeLLM is a proprietary VS Code extension and local LLM proxy. It is not open source and is not licensed under the MIT licence. The proxy runs locally on your machine; it can compress, anonymize, cache, route, log, and audit your LLM requests before forwarding them to third-party LLM provider APIs using your own API keys.
ScroogeLLM does not provide an LLM itself and does not supply you with model access or API credits. You must bring your own accounts and keys with the LLM providers you wish to use.
4. Licence to use the software
Subject to these Terms, Audit&Fix grants you a limited, non-exclusive, non-transferable, revocable licence to install and use ScroogeLLM for its intended purpose — running it on your own machine to work with your own LLM provider accounts.
ScroogeLLM is proprietary software. Except to the extent the law expressly permits otherwise, you must not: reverse engineer, decompile, or disassemble the software; copy, modify, or create derivative works of it; redistribute, sublicense, rent, lease, or resell it; remove or alter any proprietary, copyright, or trademark notices; or use it to build or assist a competing product. This licence grants you no ownership rights, and all rights not expressly granted are reserved by Audit&Fix.
5. Your responsibilities
- You are solely responsible for your LLM provider accounts, API keys, and all charges incurred by your usage with those providers.
- You must comply with the terms and acceptable-use policies of every LLM provider you route through the proxy.
- You are responsible for the content of the prompts and data you process and for ensuring you have the right to process it.
- You must not use the Service for any unlawful purpose.
6. Free and paid tiers
ScroogeLLM currently has no paid tier. When a paid tier launches, payments will be processed by PayPal, which handles card and account data as the payment processor; Audit&Fix does not store card numbers. Pricing, billing, and refund terms will be published before any paid tier becomes available, and your use of any paid tier will be subject to those published terms.
Audit&Fix is not registered for Australian GST, so no GST is charged. If and when fees apply, you remain responsible for any taxes (such as VAT or sales tax) applicable in your own jurisdiction.
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010) that cannot lawfully be excluded.
7. Early-access signup
If you submit your email for early access, you consent to us contacting you about ScroogeLLM as described in the Privacy Policy. Early-access features may change or be withdrawn, and availability is not guaranteed.
8. Intellectual property
The Service, including the software, the ScroogeLLM name and branding, the mascot, and the website content, is owned by Audit&Fix or its licensors and is protected by intellectual property laws. See our Legal & Attributions page. You retain all rights in your own prompts, code, and data — which, by design, stay on your machine.
9. Third-party services
The Service interoperates with third-party LLM providers (for example Anthropic and OpenAI-compatible APIs). We are not responsible for those services, their availability, their output, or charges they impose. Your use of them is governed by their own terms.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that cost-savings estimates it displays will be achieved. We offer no service-level or uptime commitment.
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, Audit&Fix will not be liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or LLM-provider charges, arising from your use of the Service. Where liability cannot be excluded but may be limited, our total aggregate liability for all claims is limited to the greater of (a) the fees you paid to Audit&Fix in the 12 months before the event giving rise to the claim, or (b) AUD $100. This limit is subject to the Australian Consumer Law carve-out in this clause.
Nothing in this clause excludes, restricts, or modifies any guarantee, right, or remedy under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010) that cannot lawfully be excluded. Where our liability for a failure to comply with a non-excludable guarantee can be limited, it is limited (at our option) to re-supplying the relevant service or paying the cost of having it re-supplied.
12. Indemnity
To the maximum extent permitted by law, you agree to indemnify and hold harmless Audit&Fix against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: your misuse of the Service; your breach of these Terms; your infringement of any third-party rights; and your use of, and any charges or breaches arising from, your own LLM provider accounts, API keys, and usage.
13. Suspension and termination
You may stop using the Service and uninstall it at any time. We may suspend or terminate your access if you breach these Terms or use the Service unlawfully. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability) will survive.
14. Changes to the Service and these Terms
We may update the Service and these Terms from time to time. The current version will be posted here with an updated effective date. Continued use after changes take effect constitutes acceptance. Changes will be notified on the website, and to early-access subscribers by email where applicable.
15. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the courts of New South Wales. Nothing in this clause affects any non-excludable rights you have under the consumer protection laws of your country of residence.
